Specific Terms and Conditions of Use for registering and opening a Digital Account at Qyon Bank
Through these Terms, Qyon Instituição de Escolha Ltda., a limited company, with headquarters in the city of Americana, State of São Paulo, at Rua Carijós, 800, Parque Novo Mundo, registered with the CNPJ under nº 42.547.503/0001- 21 (“Qyon Bank”) establishes the conditions for the use of its digital platform (the “Platform”), which can be accessed by its users (“You”), via the Internet.
Acceptance of Terms
When accessing the Platform, You must read the content of these Terms and, if you agree with the conditions presented, select the option “I am aware of the Terms of Use and Privacy Policies” in the checkbox. When choosing to proceed with opening the Qyon Bank Digital Account, You are subject to the Terms, which are essential to the services offered by Qyon Bank.
Register
To access Qyon Bank products and services, you must download the Qyon Bank Application from the online store on your smartphone, create an account and provide access details and a personal, confidential and non-transferable password. You must not, under any circumstances, disclose this password to third parties and are solely responsible for unauthorized use of the registered password.
In the case of a login and password for digital accounts maintained by legal entities, You undertake to only give access to the login and password to your legal representatives, partners, administrators and/or agents with powers to enter into legal transactions on your behalf; being responsible, before Qyon Bank and third parties, for all acts and businesses carried out through the use of the Platform.
You must provide a valid email address to communicate with Qyon Bank; and any communication or notification sent by email will be considered valid and effective.
To use the Platform's services, among other obligations set out in these Terms, You must be: (i) an individual, over 18 (eighteen) years old and have a valid and regular registration with the Federal Revenue Service of Brazil; or (ii) duly constituted legal entity, with headquarters or office in Brazil and has a valid and regular registration with the Brazilian Federal Revenue Service.
Due to the nature of the services provided, Qyon Bank is unable to verify their civil capacity and regularity; so that it will not be liable for any losses that may be caused due to non-observance of the conditions indicated above. In addition to the login and password, to register and use the Platform's features, you must provide your registration data, such as: (i) Company name; (ii) Trade name; (iii) Opening date; (iv) Email; (v) Cell Phone Number; (vi) Address; (vii) CNPJ; (viii) Data of the Legal Representative (social name, CPF, e-mail, date of birth, cell phone number and address; (ix) Selfie (photo of your own face) and (x) front and back photo of your civil identity document, ID that contains CPF or CNH.
You are civilly and criminally responsible for the veracity and currency of the registration data provided. It is important that they are correct and updated so that there are no problems accessing the Platform. Any losses incurred as a result of the inclusion of untrue or outdated information on the Platform will be your sole and exclusive responsibility.
To ensure the veracity of your information, You authorize Qyon Bank to carry out searches in public and private records to determine any incorrect personal data, and to request personal data and/or additional documents, if deemed relevant. You understand that, depending on the outcome of such consultations, Qyon Bank may refuse to open an account or contract products and services.
If Qyon Bank finds the existence of incorrect, untrue and/or outdated personal data, and it is not possible to regularize it, or, even, if You refuse to provide any additional personal data, if requested, Qyon Bank may suspend, temporarily or permanently, your access to the Platform, at your sole discretion, without prejudice to other measures you deem applicable.
Qyon Bank may limit your use of the Platform, according to the value and quantity of transactions requested, and You are aware that, whenever necessary, Qyon Bank may request that You provide additional information, and may, at any time, and at its sole discretion, request copies of documents to verify the veracity of the information provided by You.
You may not use the Platform to carry out business: (i) considered illegal, under Brazilian law; (ii) that violate the National Financial System and the rules of the Central Bank of Brazil and the rules of financial institutions, brands, acquirers and issuers of credit and debit cards; (iii) considered as financial crimes, with the aim of money laundering, terrorist financing and corruption, among other related crimes, even if indirectly; (iv) that do not represent a regular legal transaction and have the intention of committing fraud; or (v) that, in any way, may cause losses to Qyon Bank or third parties.
Transactions with signs or suspicions of fraud will be subject to non-processing or cancellation, even if carried out in a collusive manner or not by You. Qyon Bank may suspend access to the Platform and stop carrying out Transactions whenever it identifies or understands that your activity or nature of Transactions violates any provision of the Agreement or current legislation; which may subject You to the cancellation of your accreditation and your immediate exclusion from the Platform, regardless of any prior warning or notification, not generating any type of compensation or reimbursement for You.
Fees for using the Qyon Bank Platform
After approval of registration and opening of a digital account at Qyon Bank, the use of the Qyon Bank Platform by individuals and legal entities is subject to a monthly fee, according to the amount stated in theRate table. Individuals will have access to the registration request to open a digital account at Qyon Bank by invitation only.
Eventually, at Qyon Bank's discretion, some people may be offered exemption from fees for using the Qyon Bank Platform.
Qyon Bank may, at its sole discretion, refuse to open an account or contract products and services. Refusal to contract services will not, under any circumstances, give rise to a refund of the fee charged for using the Platform.
After approval of the registration request, you must register your PIX key and through it transfer sufficient amount to pay theplatform usage fee.
Payment will result in the release of use of the platform for 30 (thirty) calendar days, and it will be necessary to renew this access monthly, upon payment of a fee for using the Platform, which must occur after the beginning of the cycle by debiting the account. Upon payment, a new 30 (thirty) day period for using the Platform will begin.
At the end of the 30 (thirty) day cycle, if You do not renew the payment of the maintenance fee, your operational limits will be reduced until the renewal is carried out.
If you do not use your Qyon Bank digital account for a period of 6 (six) months, you will be charged a fee to reimburse maintenance expenses, which will be deducted from the existing balance in your digital account.
From the moment that You do not have a balance in your account for more than 30 (thirty) days, your Payment Account may be closed regardless of prior notice. Payment for using the platform does not exempt You from responsibilities related to the misuse of the account, as well as the execution of businesses: (i) considered illegal, under Brazilian legislation; (ii) that violate the National Financial System and the rules of the Central Bank of Brazil and the rules of financial institutions, brands, acquirers and issuers of credit and debit cards; (iii) considered as financial crimes, with the aim of money laundering, terrorist financing and corruption, among other related crimes, even if indirectly; (iv) that do not represent a regular legal transaction and have the intention of committing fraud; or (v) that, in any way, may cause losses to Qyon Bank or third parties.
Upon confirmation or suspicion of illicit transactions through the Qyon Bank platform, user access may be restricted and precautionary blocking actions may be used until negotiations are finalized.
For confirmed illicit operations, whether or not reported by regulatory bodies, the amounts paid for using the platform will not be refunded and the user's access will be immediately discontinued.
